SCRIPT SUBMISSION ACKNOWLEDGMENT AGREEMENT
This Script Submission Acknowledgment Agreement (this "Agreement") is entered into as of the date of submission ("Effective Date").
BETWEEN:
VoxPop LLC ("VoxPop"), a New York limited liability company;
AND
Submitting Party: _____________________________________________ ("Writer"). Writer represents that Writer owns or controls the rights necessary to submit the material identified in Exhibit A and has authority to enter into this Agreement.
RECITALS
A. Writer wishes to submit a script, screenplay, treatment, story, concept, or other written creative material identified in Exhibit A (the "Script") for VoxPop's review.
B. VoxPop is willing to review the Script solely to determine whether the associated Film may be suitable for further consideration within the VoxPop process.
The parties agree as follows:
1. SUBMISSION AND REVIEW
1.1 Limited Purpose. Writer submits the Script only for review and evaluation. Submission does not create an employment, partnership, joint-venture, fiduciary, agency, financing, production, distribution, streaming, or other business relationship.
1.2 No Guarantee. VoxPop may accept or reject the Script for any reason or no reason and need not provide notes, coverage, comments, or an explanation. Submission does not guarantee Platform participation, trailer publication, voting, funding, production, licensing, distribution, streaming, compensation, credit, or any other opportunity.
1.3 Later Agreements. Any option, acquisition, trailer publication, voting, funding, production, licensing, distribution, aggregation, streaming, broadcasting, exhibition, revenue sharing, or other exploitation requires a separate signed agreement.
2. OWNERSHIP, CONFIDENTIALITY, AND SIMILAR MATERIALS
2.1 Ownership and No Rights Grant. Writer retains ownership of the Script. Submission does not transfer, assign, license, option, encumber, or grant VoxPop any production or exploitation right.
2.2 Confidential Review. VoxPop will treat the Script as confidential and may disclose it only to officers, employees, attorneys, consultants, contractors, advisors, and other representatives with a legitimate need to review it, except as required by law.
2.3 Independent Development. Writer understands that VoxPop may receive or develop other materials similar in theme, genre, premise, setting, character type, plot device, tone, or general idea. Similarity alone does not mean that VoxPop has copied the Script or incurred liability unless VoxPop has made unauthorized use of Writer's legally protected expression.
2.4 Confidentiality Exclusions. Confidentiality does not apply to information that is public through no fault of VoxPop, already known without restriction, independently developed, rightfully received from another source, or not protectable as confidential information or intellectual property.
3. WRITER REPRESENTATIONS AND RESPONSIBILITY
3.1 Writer Representations. Writer represents that Writer owns or controls the rights necessary to submit the Script; has disclosed all co-writers, co-owners, employers, assignees, licensors, prior option holders, liens, guild restrictions, artificial-intelligence-generated material, and third-party source material; and, to Writer's knowledge, the Script does not infringe, misappropriate, defame, invade privacy or publicity rights, breach contractual rights, or otherwise violate third-party rights.
3.2 Writer Responsibility. Writer is responsible for protecting and registering the Script and for resolving any ownership or rights dispute. VoxPop has no duty to register, maintain, police, enforce, or defend Writer's rights.
3.3 Indemnity. Writer will indemnify, defend, and hold harmless VoxPop and its members, managers, officers, employees, contractors, representatives, successors, and assigns from claims, losses, liabilities, damages, costs, and reasonable legal fees arising from Writer's breach, a rights or ownership dispute, undisclosed third-party material, or a claim concerning the Script.
4. TERM AND GENERAL PROVISIONS
4.1 Review Period and Termination. VoxPop will use commercially reasonable efforts to complete its initial review within ninety days and may extend that period by thirty days on written notice. If no decision is given by the end of that period, the submission will be deemed rejected unless the parties agree otherwise in writing. Either party may terminate this Agreement on written notice.
4.2 Return or Destruction. After termination or rejection, VoxPop will, upon written request, use commercially reasonable efforts to return or destroy active review copies, but may retain archival, backup, legal, compliance, and recordkeeping copies subject to this Agreement.
4.3 Notices. Any notice required or permitted under this Agreement must be in writing and delivered by email, recognized courier, certified mail, email, recognized courier, certified mail, or another electronic communication method designated by VoxPop.
4.4 Governing Law and Venue. This Agreement is governed by New York law. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in New York County, New York, except that either party may seek temporary or preliminary injunctive relief in any court of competent jurisdiction where necessary to prevent immediate and irreparable harm.
4.5 Entire Agreement and Signatures. This Agreement and Exhibit A constitute the complete agreement regarding submission and review of the Script. Any amendment must be in writing and signed by both parties. This Agreement may be executed electronically and in counterparts.
